English football league clubs: have you incorporated the new mandatory provisions into your articles of association?

English football league (EFL) clubs are required to incorporate new mandatory provisions into their articles of association by no later than 10 September 2022.

The mandatory articles were introduced following their approval at the annual general meeting held by the EFL on 10 June 2022 and have now been inserted in the English football league rules at rule 24.1. The mandatory provisions relate to the registration of share transfers and how clubs recognise interests in shares (for example, holding a share upon trust). Parent undertakings of clubs are also required to include the new mandatory provisions in their articles of association (or jurisdictional equivalent). EFL clubs must use their best endeavours to ensure that the mandatory provisions are incorporated into their articles of association by no later than 10 September 2022.
